Terms of Service

1. Acceptance of Terms

By accessing or using Sarathi-AI Business Technologies ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

The Service is operated by Sarathi-AI Business Technologies ("Sarathi-AI", "we", "us", "our").

2. Description of Service

Sarathi-AI is an AI-powered, multi-tenant financial advisor CRM platform that provides:

• Customer Relationship Management (CRM) via Telegram bot
• Insurance calculators (Inflation, HLV, Retirement, EMI, Health, SIP)
• Branded PDF reports for client presentations
• Automated reminders (follow-ups, birthdays, renewals)
• AI-powered voice CRM and messaging tools
• Dashboard and analytics

3. Account Registration

• You must provide accurate and complete information during signup
• One account per phone number — duplicate registrations are not allowed
• You are responsible for maintaining the security of your account credentials, bot tokens, and API keys
• You must be at least 18 years old to use the Service
• You are responsible for all activities under your account

4. Free Trial

• New accounts receive a 14-day free trial with full feature access
• Free trial is limited to one per phone number and one per email address
• No credit card is required for the free trial
• After trial expiry, you must subscribe to a paid plan to continue using the Service
• Data from expired trials is retained for 30 days, then permanently deleted

5. Subscription & Payment

5.1 Plans & Pricing

• Solo Advisor: ₹199/month — 1 agent
• Team: ₹799/month — up to 5 agents
• Enterprise: ₹1,999/month — up to 25 agents

All prices are in Indian Rupees (INR) and include applicable taxes.

5.2 Payment Processing

Payments are processed securely via Razorpay. We accept UPI, debit/credit cards, and net banking. We do not store your payment card details — Razorpay handles all payment data per PCI-DSS standards.

5.3 Billing Cycle

Subscriptions are billed monthly. Auto-renewal occurs at the end of each billing cycle unless cancelled.

6. Cancellation & Refund

• You may cancel your subscription at any time from your dashboard
• Cancellation takes effect at the end of the current billing period
• After cancellation, your data is retained for 30 days
• You can reactivate your account within the 30-day retention period
• After 30 days, all data is permanently and irreversibly deleted

7. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of IRDAI regulations
• Store false, misleading, or fraudulent client information
• Attempt to access other tenants' data or circumvent security measures
• Use automated tools (bots, scrapers) to abuse the Service beyond normal API use
• Send spam, unsolicited messages, or harassing communication via Telegram integration
• Reverse-engineer, decompile, or attempt to extract source code
• Resell or redistribute the Service without written permission
• Upload malware, viruses, or malicious content

8. Data Ownership

• Your data: You retain full ownership of all client data, leads, policies, and reports you create
• Our platform: We retain ownership of the Sarathi-AI platform, algorithms, calculators, UI designs, and branding
• Upon account deletion, all your data is permanently removed from our systems

9. Service Availability

We strive for high availability but do not guarantee 100% uptime. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we'll notify you in advance when possible)
• Unplanned outages or infrastructure issues
• Third-party service disruptions (Telegram, Razorpay, Google AI)

We are not liable for any losses arising from service interruptions.

10. Limitation of Liability

• Sarathi-AI is provided "as is" without warranties of any kind
• Calculator results are for informational and illustrative purposes only — not financial advice
• We are not liable for business decisions made based on calculator outputs or reports
• Our total liability is limited to the amount you paid in the last 3 months of service
• We are not responsible for client data accuracy — you manage and verify your client information

11. Intellectual Property

The Sarathi-AI name, logo, peacock feather design, calculator algorithms, report templates, and all platform code are the intellectual property of Sarathi-AI Business Technologies. You may not copy, modify, or distribute these without written permission.

12. Third-Party Services

The Service integrates with third-party platforms:

• Telegram: Subject to Telegram's Terms
• Razorpay: Subject to Razorpay's Terms
• Google AI: Used for AI features, subject to Google's Terms

13. Termination

We reserve the right to suspend or terminate your account if:

• You violate these Terms of Service
• Your payment fails repeatedly
• You engage in abusive or fraudulent behavior
• Required by law or regulatory authority

Upon termination, we will provide 30 days to export your data (unless terminated for abuse).

14. Governing Law

These terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts in India.

15. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email at least 15 days before taking effect. Continued use after changes constitutes acceptance.

17. Partner & Affiliate Program Terms

The following additional terms apply to participants in the Sarathi-AI Partner/Affiliate Program.

17.1 Eligibility

• You must be at least 18 years old and a resident of India
• You must provide a valid Indian mobile number and email address
• Both phone and email must be verified via OTP before your account is activated
• Sarathi-AI reserves the right to reject or deactivate any affiliate at its sole discretion
• Employees, contractors, or immediate family of Sarathi-AI are not eligible

17.2 Commission Structure

• Commission Rate: 20% of the subscription amount paid by your referred users
• Commission is earned only when a referred user subscribes to a paid plan
• Free trial signups do not generate commission; commission is triggered only upon first payment
• Commission rate may be adjusted with 30 days' written notice
• Sarathi-AI may offer promotional commission rates at its discretion

17.3 Referral Tracking

• Each affiliate receives a unique referral code (e.g., SAR-ABCD1234)
• A referral is tracked when a prospect signs up using your referral code or link
• A phone number can only be referred once across all affiliates — the first referral wins
• Self-referrals are strictly prohibited — referring your own phone number is blocked
• Maximum 10 referrals per affiliate per 24-hour period (velocity limit)

17.4 Cooling Period & Payout

• All commissions enter a 7-day cooling period after the referred user's payment
• During cooling, the commission is held pending — it cannot be paid out
• After cooling, commission status moves to "ready" for payout
• Payouts are processed via UPI or bank transfer — you must provide valid payment details
• Payout processing is at the discretion of Sarathi-AI and typically occurs within 7–14 business days after the cooling period ends
• There is no minimum payout threshold

17.5 Commission Reversal

• If a referred user's payment is refunded or charged back, the corresponding commission is reversed
• If a referred user cancels within the cooling period, no commission is payable
• Reversed commissions are deducted from your total earned balance
• If your balance goes negative due to reversals, future commissions will offset it

17.6 Prohibited Activities — Anti-Fraud

• Creating fake signups using disposable numbers, virtual numbers, or SIM farms
• Incentivizing signups with cashback, money sharing, or other inducements not approved by Sarathi-AI
• Misrepresenting Sarathi-AI — e.g., false claims about features, pricing, or guarantees
• Spam — mass unsolicited messages, emails, or calls to promote your referral code
• Using bots, scripts, or automated tools to generate fake referrals
• Registering multiple affiliate accounts using different numbers
• Manipulating the referral code system, cookie stuffing, or URL hijacking
• Colluding with referred users to generate fraudulent payments for commission extraction

17.7 Termination & Deactivation

• You may leave the program at any time by contacting support
• Sarathi-AI may deactivate your affiliate account for any reason with 15 days' notice
• Deactivation for fraud or policy violation is immediate and without notice
• Upon deactivation: all unpaid commissions in "ready" status will be paid out within 30 days, unless terminated for fraud
• If terminated for fraud, all pending commissions are forfeited

17.8 Tax Responsibility

• You are solely responsible for reporting affiliate income and paying applicable taxes
• TDS (Tax Deducted at Source) may be applicable as per Indian tax laws
• Sarathi-AI may require PAN card details for payouts exceeding ₹10,000 in a financial year
• Sarathi-AI is not your employer — the affiliate relationship is that of an independent partner

17.9 Intellectual Property

• You may use the Sarathi-AI name and logo solely for referral promotion purposes
• You may not alter, modify, or misrepresent the Sarathi-AI brand
• You may not create websites, apps, or social media pages that impersonate Sarathi-AI
• All marketing materials provided are for promotional use only and remain Sarathi-AI's property
